# TERMS OF SERVICE
**VaultGuard Apps Subscription Service**

These Terms of Service (the "**Terms**") govern your subscription to and use of the VaultGuard Apps subscription service (the "**Service**") offered by **Information Security Kentucky, LLC** ("**we**," "**us**," or "**our**"). The Service includes the right to install and use any VaultGuard App you have subscribed to, license validation, software updates, and customer support during your active subscription.
Each VaultGuard App is licensed under the End User License Agreement (the "**EULA**"). These Terms govern the commercial subscription relationship between you and us. Where these Terms and the EULA address the same subject, these Terms control with respect to billing and the subscription relationship, and the EULA controls with respect to your use of the software.
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
## 1. Eligibility and account
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your account credentials and license keys confidential and for all activity under your account.
You agree to provide accurate billing information and to keep it current. We may suspend or terminate your account if information you provide is inaccurate or fraudulent.
## 2. Subscription plans and fees
Each VaultGuard App is offered under one or more subscription plans. Current plans and pricing for each VaultGuard App are published on the corresponding VaultGuard pages of the Information Security Kentucky website at **informationsecuritykentucky.com**.
Fees are stated in U.S. dollars and exclude any applicable taxes, which we may collect and remit on your behalf where required by law. We may change pricing for new subscriptions at any time. Pricing changes for existing subscribers will take effect at the next renewal and will be communicated by email at least thirty (30) days in advance.
## 3. Billing and renewal
**Auto-renewal.** Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) at the then-current price for your plan, unless you cancel before the renewal date.
**Payment.** You authorize us, or our payment processor, to charge your payment method on file at the start of each billing period. If a charge fails, we may suspend Service access until payment is resolved.
**Cancellation.** You may cancel auto-renewal at any time through your account portal or by emailing **customerservice@informationsecuritykentucky.com**. Cancellation takes effect at the end of the current billing period. You retain access to the Service through the end of the period you have already paid for.
## 4. Refunds
**Annual subscriptions.** New annual subscriptions may be refunded in full if you request a refund within fourteen (14) days of the initial purchase. After fourteen (14) days, annual subscriptions are non-refundable, but you may cancel auto-renewal at any time.
**Monthly subscriptions.** Monthly subscriptions are non-refundable. You may cancel auto-renewal at any time, and access continues through the end of the paid month.
**Trial conversions.** If your subscription was converted from a free trial, the fourteen (14)-day refund window starts on the date of the first paid charge.
We may offer additional refunds at our discretion in cases of demonstrable software defects we cannot resolve within a reasonable time.
## 5. Free trial
We may offer free trials of one or more VaultGuard Apps. Trial duration and terms are described on the corresponding VaultGuard product pages at signup. We may modify or discontinue the trial program at any time. We may limit one trial per individual or organization, per VaultGuard App. Trials may not be combined with other offers.
## 6. License server availability
The Service depends on the availability of our license validation infrastructure. We will use commercially reasonable efforts to maintain that infrastructure, but we do not guarantee uninterrupted availability.
If our license server is unreachable, the VaultGuard App you are using will continue to operate during the Grace Period defined in the EULA, currently **seven (7) days**. If our license server is unavailable for a period exceeding the Grace Period, you may pause the affected portion of your subscription by contacting customer service, and we will adjust your billing accordingly.
## 7. Support
During your active subscription, we provide email-based customer support at **customerservice@informationsecuritykentucky.com**. We aim to respond to support requests within one (1) business day, Monday through Friday, excluding U.S. federal and Kentucky state holidays.
We do not commit to specific response times for issues outside of business hours, except that we will use commercially reasonable efforts to respond promptly to confirmed security vulnerabilities affecting the Software.
Telephone support, on-site support, and emergency response services are not included in the standard subscription. These services may be available separately under a separate agreement.
## 8. Acceptable use
You agree not to use the Service:
(a) to violate any applicable law or regulation;
(b) to back up, monitor, store, or transmit data you do not have the lawful right to handle;
(c) to interfere with or attempt to compromise the security of the Service or any other user's account;
(d) to attempt to bypass license validation, billing, or access controls;
(e) to resell or redistribute the Service or the Software, except as expressly permitted; or
(f) to use automated tools to access the Service in ways that disrupt or unduly burden our infrastructure.
We may suspend or terminate accounts that violate this section.
## 9. Your data
You retain ownership of all data you back up, monitor, or otherwise process using the Software. We do not access, store, or process the contents of your data files in connection with operating the Service.
In the course of operating the Service, our infrastructure does receive certain limited information from the Software, including (but not limited to) license keys, hardware fingerprints, and the contents of email alerts you choose to send through our relay. The full inventory of what we collect, why, and how it is handled is described in our **Privacy Policy** at **informationsecuritykentucky.com/legal/privacy**.
## 10. Modifications to the Service
We may add, remove, or modify features of the Service at any time. We will use commercially reasonable efforts to notify subscribers of material adverse changes by email at least thirty (30) days in advance. If a material adverse change is unacceptable to you, you may cancel your subscription and receive a prorated refund of any prepaid fees for the unused portion of the current billing period.
## 11. Termination by us
We may suspend or terminate your account, with or without notice, if:
(a) you breach these Terms or the EULA;
(b) your payment fails and is not resolved within a reasonable cure period;
(c) we are required to do so by law; or
(d) we discontinue the Service.
If we terminate your account other than for breach, we will refund a prorated portion of any prepaid fees for the unused portion of the current billing period.
## 12. Discontinuation of the Service
If we decide to discontinue any VaultGuard App permanently, we will give subscribers at least **ninety (90) days** advance notice by email. During the notice period, the Software and license server will continue to operate. After the discontinuation date, the Software may cease to function. We will provide a prorated refund of any prepaid fees for the unused portion of the current billing period at the time of discontinuation.
## 13. Disclaimer and limitation of liability
The disclaimer of warranties and limitation of liability set forth in Sections 7 and 8 of the EULA apply equally to the Service and are incorporated into these Terms by reference. **Please read them carefully.**
## 14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles. Any dispute will be brought exclusively in the state or federal courts located in Hardin County, Kentucky, and you consent to the personal jurisdiction of those courts.
## 15. General
**Entire agreement.** These Terms, together with the EULA and Privacy Policy, are the entire agreement between you and us regarding the Service.
**Modifications.** We may modify these Terms by posting an updated version. We will notify subscribers of material changes by email. Continued use of the Service after the effective date of changes constitutes acceptance.
**Severability.** If any provision is unenforceable, the rest remains in effect.
**Assignment.** You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
**No agency.** No partnership, joint venture, or agency relationship is created by these Terms.
