These Terms of Service (the "Terms") govern your subscription to and use of the VaultGuard Apps subscription service (the "Service") offered by Information Security Kentucky, LLC ("we," "us," or "our"). The Service includes the right to install and use any VaultGuard App you have subscribed to, license validation, software updates, and customer support during your active subscription.

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

1. What these terms cover

These Terms cover the commercial relationship between you and us: your account, billing, renewals, cancellation, refunds, trials, and how the subscription works. They apply to every VaultGuard App subscription, including VaultGuard Backup and any VaultGuard-branded application we offer now or in the future.

2. Related agreements

Each VaultGuard App is licensed under the End User License Agreement (the "EULA") posted at informationsecuritykentucky.com/eula. These Terms govern the commercial subscription relationship between you and us. Where these Terms and the EULA address the same subject, these Terms control with respect to billing and the subscription relationship, and the EULA controls with respect to your use of the software.

Your use of each VaultGuard App is also subject to the Service Agreement & Terms of Use presented in the application and posted at informationsecuritykentucky.com/vaultguard-terms, which covers the risk, responsibility, and data-handling terms for the software itself.

3. Your account

You must provide accurate information when creating an account and purchasing a subscription, and keep your email address current — it is how we send you receipts, renewal notices, and security notifications. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at customerservice@informationsecuritykentucky.com if you believe your account has been compromised.

You must be at least 18 years old and able to form a binding contract to subscribe.

4. Subscriptions and plans

We offer subscription plans as described on our website at the time of purchase. Each plan specifies which VaultGuard App(s) it covers, the number of devices it licenses, and its billing interval (monthly or annual). The features, device limits, and current pricing for each plan are stated on the product pages of our website.

We may change plan features or pricing prospectively. Price changes take effect at your next renewal, and we will notify you by email at least thirty (30) days before a price increase applies to you.

5. Billing, renewal, and payment

- Prices. The price for your subscription is the price displayed at checkout when you purchase, plus any applicable taxes.
- Payment processing. Payments are processed by our online store (Squarespace) and payment processor (Stripe). We do not see or store your full payment card details.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, per your plan) unless you cancel before the renewal date. By subscribing, you authorize the recurring charge to your payment method on file.
- Renewal notices. For annual subscriptions, we will send a reminder email to the address on your account before your renewal date.
- Failed payments. If a renewal payment fails, we will notify you by email and retry the charge. If payment is not received, your subscription will lapse as described in Section 7.

6. Cancellation and refunds

You may cancel your subscription at any time through your account portal or by emailing customerservice@informationsecuritykentucky.com. Cancellation stops future renewals; it does not end your current paid period, and you retain access to the Service through the end of the period you have already paid for.

Refunds: If you are unhappy with a new subscription, contact us within fourteen (14) days of your first purchase and we will refund it in full. Renewal charges are refundable if you contact us within fourteen (14) days of the renewal date and have not used the Service after the renewal. Beyond these windows, fees are non-refundable except where required by law. We would rather fix a problem than keep an unhappy customer's money — if something is wrong, tell us.

7. What happens if your subscription lapses

If your subscription ends — because you cancel, or a renewal payment fails — the software enters a seven (7) day grace period. During the grace period, the software continues to function normally so that an expired card or a missed email does not silently stop your backups. After the grace period, the software's licensed features stop running until your subscription is renewed.

Important: your existing backups are yours and remain wherever they are stored — on your drives and in your cloud accounts. A lapsed subscription never deletes, locks, or holds hostage any backup you have already made. You can restore from existing backups using the tools described in our documentation even if your subscription has lapsed.

8. Trials

Where we offer a free trial, the trial length and terms are stated on the trial page. Trials do not require a payment method unless the trial page says otherwise. At the end of the trial, the software will require a paid subscription to continue running licensed features. We do not automatically convert free trials into paid subscriptions without your explicit purchase.

9. Acceptable use

You agree not to:

- Use the Service in violation of any law or regulation;
- Share, resell, or distribute license keys except as your plan expressly allows;
- Circumvent or attempt to circumvent license validation or device limits;
- Use the Service to store or back up content you have no legal right to possess;
- Interfere with or disrupt the Service or its infrastructure.

We may suspend or terminate accounts engaged in these activities, as described in Section 10.

10. Suspension and termination by us

We may suspend or terminate your subscription if:

(a) You materially breach these Terms or the EULA and do not cure the breach within fourteen (14) days of written notice;
(b) Your use of the Service poses a security risk to us or to others;
(c) We are required to do so by law.

If we terminate your subscription for reasons other than your breach, we will refund the unused portion of any prepaid fees. If we discontinue the Service entirely, we will give subscribers at least sixty (60) days' notice, and the grace-period and your-backups-are-yours provisions of Section 7 apply.

11. Support and updates

Active subscriptions include software updates and customer support by email at customerservice@informationsecuritykentucky.com. We aim to respond to support requests within two (2) business days. Support covers the VaultGuard software itself; it does not include general computer repair, network troubleshooting, or services outside the software.

12. Disclaimers and limitation of liability

The Service is provided "as is." The warranty disclaimers, limitations of liability, and your security responsibilities that apply to your use of the software are set out in the EULA and in the Service Agreement & Terms of Use, and they apply equally to the Service under these Terms. Our total liability under these Terms is limited to the fees you actually paid us in the twelve (12) months before the event giving rise to the claim.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. Any dispute will be handled in the state courts located in Hardin County, Kentucky, or the federal courts having jurisdiction over Hardin County, and you consent to the jurisdiction of those courts.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify subscribers by email at least thirty (30) days before the changes take effect and post the updated Terms on our website with a new "Last updated" date. Continued use of the Service after the effective date constitutes acceptance.
